But the premise is to divest Wincanton's small grocery warehousing business contract in the UK, and once certain administrative conditions are met, integration with the vast majority of Wincanton's businesses will be allowed.

It is understood that in March last year, GXO Logistics defeated rival Dafei and won the Wincanton acquisition contract for £960 million. However, the merger has raised concerns among British competition regulators and launched an investigation into the merger case.

GXO CEO Malcolm Wilson said: "We are pleased that the UK regulatory review has ended and are happy to merge the two companies together. The merger of GXO and Wincanton will enhance GXO's services to UK and Ireland customers and take a place in the strategic verticals, which will serve as a springboard for growth. We are ready to move forward quickly and look forward to welcoming the Wincanton team to GXO."

The integration is expected to begin in the third quarter and allows the team to conduct designated aerospace and defence bidding cooperation in the UK, effective immediately. No further regulatory review is required.
